Agreement scope

These Terms apply to access and use of profitaicircuit.one and to vocational courses delivered by Profit AI Circuit Inc. By enrolling, browsing, or submitting forms, you accept the current version of these conditions. If you do not agree, discontinue use and avoid submitting personal information through website or enrolment channels.

Service description

Services include educational modules, workshops, resources, mentoring sessions, and related support focused on AI-assisted professional work. Delivery formats may include classroom, online, and hybrid modes. Content is designed for skill development and practical implementation. Materials are informational and instructional, not legal, financial, or investment advice.

Eligibility

Participants must be at least eighteen years of age and legally capable of entering binding agreements. Registrants confirm that submitted details are accurate and that they have authority to register any team members included under corporate enrolment. We may suspend access where information appears materially false or misleading.

Educational positioning

Programme participation does not create an employment relationship, agency relationship, or placement commitment. We do not guarantee jobs, contracts, salary growth, revenue figures, or profit outcomes. Training may improve readiness and execution quality, yet commercial results depend on many variables outside our control, including market conditions and individual effort.

Fees and billing

Tuition and service fees are stated in Canadian dollars unless otherwise noted. Payment schedules, instalment arrangements, and invoicing terms are provided during registration. Late or failed payments may delay access to sessions or materials. We reserve the right to adjust future pricing without retroactive impact on already confirmed enrolments.

Refund framework

Refund eligibility depends on timing, programme format, and resource commitments already incurred. Early withdrawal requests generally receive higher consideration than late cancellations. Administrative deductions may apply to cover processing costs. Special circumstances are reviewed case-by-case, and approved credits may be issued for future cohorts at our discretion.

Scheduling and changes

Programme dates, facilitators, and modality details may change where operationally necessary. We make reasonable efforts to communicate updates promptly and provide practical alternatives. If a course is cancelled by us, participants receive transfer options or refund handling as outlined in enrolment communication.

Participant conduct

Learners must engage respectfully with facilitators and peers, avoid harassment, and refrain from disruptive behaviour in classroom or online spaces. Misuse of shared channels, abusive language, or harmful conduct may result in removal without refund where policy violations are serious or repeated.

Acceptable use of materials

Course assets are licensed for personal or internal team learning as specified. You may not resell, redistribute, publish, or repurpose protected materials beyond granted permissions. Recording sessions, copying templates at scale, or sharing paid resources outside authorised use may trigger access suspension and legal remedies.

AI tool responsibility

Third-party AI platforms operate under their own terms and privacy rules. Participants are responsible for compliance with those rules and for validating outputs before relying on them in commercial settings. We teach review standards and risk controls, yet final professional accountability for delivered work remains with the learner or learner's organisation.

Intellectual property

All trademarks, curricula, visual assets, and instructional content remain the property of Profit AI Circuit Inc. or licensed partners unless explicitly stated otherwise. Nothing in these Terms transfers ownership rights. Limited access is granted solely for the educational purpose associated with your confirmed enrolment.

Confidentiality

Participants should not upload confidential third-party data into shared class channels unless authorised and appropriately protected. During peer review exercises, everyone must respect confidentiality and avoid external distribution of another participant's materials. We may remove content that appears to violate privacy, confidentiality, or legal obligations.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability for claims related to a course or service is limited to fees paid for that specific offering. We are not liable for indirect, incidental, or consequential losses, including lost revenue, reputational impacts, or downstream business interruption claims.

Indemnification

You agree to indemnify and hold harmless Profit AI Circuit Inc. from claims, damages, and expenses arising from your misuse of services, violation of these Terms, or unlawful use of course outputs. This obligation includes reasonable legal costs where permitted by applicable legislation.

Force majeure

Neither party is liable for delay or non-performance caused by events beyond reasonable control, including natural disasters, utility failures, public emergencies, and major service outages. Affected obligations are suspended for the duration of disruption, and both parties should cooperate on reasonable mitigation where possible.

Termination

We may suspend or terminate access for material breaches, abusive conduct, fraudulent behaviour, or persistent non-payment. You may discontinue participation at any time, subject to refund terms and obligations already incurred. Sections on payment, intellectual property, limitation, and dispute handling survive termination where relevant.

Governing law and disputes

These Terms are governed by the laws of British Columbia and applicable federal laws of Canada. Parties should attempt good-faith resolution before formal proceedings. If unresolved, disputes may proceed in courts with appropriate jurisdiction unless mandatory law requires another process.

Severability and entire agreement

If one provision is held invalid, remaining provisions continue in force to the extent legally possible. These Terms, along with enrolment documents and posted policies, form the complete agreement regarding services and supersede prior informal discussions or promotional impressions.
